Corporate and Commercial

Practice area

We advise companies across India and the UAE — from incorporation and FDI structuring to M&A, governance and ongoing compliance. When a structure spans both jurisdictions, a single team runs it end to end.

Where we structure & file
Companies Act 2013
India: Incorporation, governance and MCA filings
Mainland, free zone & offshore
UAE: Formation, including holding structures
FEMA & FDI routes
India: Inbound and outbound investment, both directions
GIFT City, DIFC & ADGM
India & UAE: The corridor's international financial centres
02 — One relationship

A structure that touches both sides, run by one team.

Cross-border corporate work often fractures across two sets of advisers — one in India, one in the UAE — with duplicated instructions and the risk of conflicting positions. Our presence in both jurisdictions means a single team runs the whole structure: aligned incorporation and FDI strategy, coordinated transaction work, and compliance maintained on both sides at once.

One team, both jurisdictions

India-enrolled advocates and UAE practitioners under a single advisory relationship.

Aligned cross-border structuring

Incorporation, FDI routes and holding structures designed across India and the UAE together, so the corporate framework is consistent on both sides.

Structure & jurisdiction strategy

Advice at the outset on where to incorporate and how to hold — the choice that fixes the FDI route, the tax position and the compliance burden.

03 — Our approach

How we run cross-border corporate work.

Dual-jurisdiction bench

Experienced corporate teams in both India and the UAE, advising across company law, FDI and regulatory frameworks on each side.

Regulatory precision

Filings and approvals executed to MCA, RBI, free zone and regulator requirements, minimising procedural risk.

Purpose-built documents

Shareholder, investment and constitutional documents drafted to each client’s ownership structure and objectives — no templates.

Commercial alignment

Every step measured against the client’s wider objectives — efficiency balanced with sound governance.

Structure-led

Advice shaped from the outset around where the business will operate and how the group will ultimately be held.

End-to-end execution

Incorporations, restructurings and filings delivered through established relationships with registrars, regulators and free zone authorities.

Mandates are led by our corporate teams in India and the UAE, working under a single advisory relationship.

04 — Representative experience

  • Cross-border JVAdvised business groups on cross-border transactions and joint ventures with entities incorporated in Cyprus, Hong Kong, Korea and Mozambique, including structuring advice, transaction documents and coordination with international counsel and authorities.
  • RestructuringAdvised regulated financial services entities on internal restructuring, including governance frameworks and the renegotiation of internal agreements, with ongoing support to maintain regulatory compliance.
  • Re-domiciliationConducted a feasibility assessment and executed the re-domiciliation of a company between two regulatory jurisdictions, drafting and notarising the requisite documents and coordinating with both authorities throughout.
05 — Cross-border questions

Corporate work across the corridor, answered.

We want to set up in both India and the UAE — can one firm handle both?
Yes — our dual India–UAE presence means a single team advises on company law, FDI and compliance in both jurisdictions under one relationship, rather than instructing separate firms in each. India-enrolled advocates and UAE practitioners coordinate the structure, the filings and the ongoing governance across the corridor.
Where should we incorporate — India, the UAE, or a holding structure across both?
It depends on where the business operates, where the capital originates and how profits are to be repatriated. We advise on the choice at the outset — a wholly owned Indian subsidiary or LLP, a UAE mainland, free zone or offshore vehicle, or a UAE holding structure over an Indian entity — because the structure fixes the FDI route, the tax position and the compliance burden on both sides.
Can you run a cross-border M&A or joint venture that touches both jurisdictions?
Yes — we advise acquirers, targets and investors on transactions that span India and the UAE, coordinating due diligence, transaction documents and regulatory clearances on both sides at once. The same team handles FEMA and FDI pricing in India and the relevant UAE approvals, reducing duplication and the risk of conflicting positions.
How do you keep governance and compliance aligned across India and the UAE?
We maintain the governance and statutory obligations of the group’s entities in both jurisdictions under one relationship — board and director duties and MCA filings under the Companies Act 2013 in India, and the corresponding UAE corporate and free zone requirements — so the structure stays compliant on both sides without separate advisers tracking each.
