Non-Disclosure Agreement (NDA)
A Non-Disclosure Agreement (NDA) is a legally binding contract that protects confidential business information from being shared or misused by employees, contractors, or business partners. In the UAE, NDAs are commonly used in intellectual property (IP) transactions, mergers & acquisitions (M&A), and business negotiations. Under UAE Commercial Law and Federal Law No. 38 of 2021 on Copyrights and Related Rights, unauthorized disclosure of confidential information can lead to legal action and financial penalties. For cross-border transactions, NDAs should specify governing law and dispute resolution mechanisms to ensure enforceability under UAE or international arbitration rules.
